Abstract
It is known that Venture capitalist play a vital role in Small and Medium Enterprise development through the provision of patient capital from the infant state of investee firms to when they are weaned off (existed). The governance of nascent firms is critical for their performance and safety of shareholder interest. Recent corporate frauds and scandals have greatly highlighted the increasing influence of principles of corporate governance in Ghana. Boards of directors are mandated to safe guard and boost investor interest. Board structure characteristics (Board size, composition and Chief Executive Officer Duality) are vehicles for transmitting their oversight responsibilities.
